Terms and Conditions of the Puzzle-USA.com Online Shop

1. General provisions and trader information

1. These Terms and Conditions govern the use of the online shop at www.puzzle-usa.com (the “Shop”), orders, sales contracts, payment, delivery, returns and complaints for orders delivered to the United States.

2. The Shop is operated by Intranet s.r.o., Čapajevova 8, 040 11 Košice, Slovak Republic, company ID: 46489827, tax ID: 2820015418, VAT ID: SK2820015418, registered in the Commercial Register of the Municipal Court in Košice, Section Sro, Insert No. 29009/V (the “Trader”, “we” or “us”).

3. Contact: puzzle-usa@puzzle-usa.com, telephone +421 940 576 390. Correspondence and complaints address: the address above.

4. Nothing in these Terms excludes or limits rights that cannot lawfully be excluded or limited under applicable law.

2. Definitions

Customer means a person or organisation placing an order. Consumer means a natural person purchasing Goods primarily for personal, family or household purposes. Goods means the physical products offered in the Shop.

3. Goods, prices, taxes and promotions

1. The Shop provides the main characteristics of each Good, including its description, quantity and relevant product information. Product images are illustrative; the description and characteristics shown for the particular Good apply.

2. Prices are shown in U.S. dollars and are the prices displayed when the order is placed. Delivery charges and any sales tax that we are required to collect are shown before the Customer submits the order. Unless checkout expressly states otherwise, prices and delivery charges do not include U.S. customs duties, tariffs, import taxes, customs-entry, brokerage or carrier fees.

3. Sales or use tax obligations may vary by state and locality. Where we are legally required to collect sales tax, it will be shown at checkout. Where we do not collect a tax, the Customer may be responsible for reporting and paying any applicable use or similar tax to the relevant authority.

4. Promotions are valid for the stated period or until stocks run out and cannot be combined unless the promotion expressly says otherwise.

4. Ordering, contract and payment

1. To place an order, the Customer selects Goods, enters the data necessary for fulfilment, chooses delivery and payment methods, and checks the order summary. Before submitting it, the Customer is informed of the Goods, total price, delivery charges, taxes collected by the Shop and any other charge known to us.

2. An order is submitted by clicking a button clearly marked “Order with obligation to pay” or equivalent wording. We send an e-mail confirming receipt; the contract is concluded only when we confirm acceptance for fulfilment. We may decline an order before dispatch for an obvious error in price, availability or description and will promptly refund any payment received.

3. Payment methods and charges are shown at checkout. For bank-transfer payments, fulfilment begins after payment is credited to our account.

5. Delivery from Slovakia to the United States

1. Goods are dispatched from Slovakia. Delivery availability, carrier, price and estimated delivery time for a particular U.S. address are shown during checkout.

2. We will dispatch the Goods within the period stated at checkout. If no period is stated, we will have a reasonable basis to expect dispatch within 30 days after receiving a properly completed order. If we cannot dispatch on time, we will notify the Customer, offer a revised dispatch date and provide the option to cancel for a prompt refund where required by law.

3. Unless checkout expressly states otherwise, delivery is DAP (Delivered at Place), Incoterms® 2020, to the delivery address supplied by the Customer. The Customer is responsible for U.S. import clearance and the import charges in Section 6. Risk of accidental loss or damage passes when the Goods are delivered to the Customer or a person designated by the Customer other than the carrier.

6. U.S. customs, import clearance and duties

1. Goods delivered to the United States are international shipments. The Customer must provide accurate information and promptly provide any information, authorisation or documentation reasonably requested by the carrier, customs broker or competent authority for import clearance.

2. Unless checkout expressly states that duties and taxes are included or prepaid, the Customer is responsible for all amounts payable in connection with import into the United States. These may include customs duties, tariffs, import taxes, customs-processing or entry fees, brokerage fees and carrier charges. The amount, if any, is determined by the competent authorities or carrier and may depend on the Goods, their value, country of origin and the rules applicable at import.

3. U.S. import rules may apply duties, taxes and fees even to lower-value shipments. The Customer should check current requirements of U.S. Customs and Border Protection and the carrier before ordering. We do not control customs decisions or guarantee clearance by a particular date.

4. Customs inspection, requests for documents, payment of import charges or other action by an authority or carrier may delay delivery. If the Customer refuses delivery, does not pay a required import amount, or does not provide necessary information, the carrier may return, abandon or dispose of the Goods under its terms and applicable law. Where Goods are returned, delivery, return-carriage, customs, tax, brokerage and other import charges that we cannot recover are non-refundable to the extent permitted by law.

5. If we or our carrier pay an import charge, storage charge, return cost or other amount on the Customer’s behalf because of the Customer’s failure to meet the obligations in this Section, the Customer must reimburse us for the reasonable, documented amount, to the extent permitted by applicable law.

7. Cancellation and returns

1. In addition to rights required by law, we offer Consumers the right to cancel a distance sales contract within 14 days after the Consumer, or a person designated by the Consumer other than the carrier, receives the Goods. For an order delivered in separate parts, the period starts when the last part is received.

2. To cancel, the Consumer must send an unequivocal statement by e-mail to puzzle-usa@puzzle-usa.com or by post to the address in Section 1. Sending the statement before the deadline is sufficient.

3. The Consumer must return the Goods within 14 days after notifying us and bears the direct return cost, including customs documentation or charges required for the return, unless we agree otherwise. We refund payments for returned Goods, including the cost of the least expensive standard delivery offered by us, within 14 days after cancellation; we may withhold the refund until we receive the Goods or proof of return. Import duties, taxes, brokerage fees and other charges paid to a carrier or authority are not refundable by us unless required by law or expressly agreed by us.

4. The Consumer is liable only for diminished value resulting from handling beyond what is necessary to establish the Goods’ nature, characteristics and functioning. This cancellation right does not apply to personalised Goods or other exceptions required by law.

8. Defective Goods, safety and recalls

1. We are responsible for a lack of conformity with the sales contract to the extent required by applicable law. A complaint may be submitted by e-mail to puzzle-usa@puzzle-usa.com or in writing to the address in Section 1. Please include the order number, a description of the issue and the requested remedy.

2. Nothing in these Terms excludes any applicable implied warranty or other consumer remedy. A manufacturer’s commercial warranty applies only if granted and does not limit rights provided by law.

3. We will comply with product-safety, labelling and recall obligations applicable to Goods offered for delivery in the United States. Safety questions, incident reports and recall enquiries may be sent to puzzle-usa@puzzle-usa.com.

9. Business protections and limitation of liability

1. The Customer represents that information supplied for an order, payment and customs clearance is accurate and complete. We may suspend, cancel or refuse an order where we reasonably suspect fraud, unauthorised payment, inaccurate customs information, a breach of these Terms or a legal or safety risk. If we cancel an order before dispatch, we will refund payments received for that order, less any non-recoverable amounts where applicable law allows such deduction.

2. To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, exemplary, punitive or consequential loss, including lost profit, loss of business, loss of data or loss of opportunity. To that same extent, our total aggregate liability arising out of or relating to an order is limited to the amount actually paid to us for the Goods that gave rise to the claim.

3. The limitations in this Section do not limit liability that cannot lawfully be limited, including liability for fraud, intentional misconduct, death or personal injury caused by negligence, or mandatory consumer rights. They do not limit a remedy where a limitation is unenforceable under applicable law.

4. We are not responsible for a delay or failure caused by circumstances beyond our reasonable control, including acts of public authorities, customs action, carrier disruption, strikes, natural disasters, war, sanctions, cyber incidents or interruption of supply, except to the extent applicable law requires a remedy. We will take reasonable steps to notify the Customer and mitigate the effect where practicable.

5. A Customer purchasing Goods for resale, business use or another non-consumer purpose must indemnify us against third-party claims, losses, penalties and reasonable costs arising from that Customer’s unlawful resale, distribution, alteration, use, import declaration or breach of these Terms. This paragraph does not apply to Consumers except where permitted by applicable law.

10. Privacy, intellectual property and disputes

1. Information about personal data processing, Customer rights and cookies is in the separate Privacy Policy.

2. Shop content, including text, photographs, graphics, logos and software, is owned by us or our licensors and may not be used beyond the scope permitted by law without prior consent.

3. The contract is governed by Slovak law, except that this choice does not deprive a Consumer of protections that cannot be waived under the law applicable in the Consumer’s U.S. state of residence. The competent court or other dispute-resolution forum is determined by applicable law. Before formal proceedings, please contact us so that we can try to resolve the matter directly.

4. If any provision is invalid or unenforceable, it will be replaced or limited only as necessary and the remaining provisions remain effective. Changes do not affect contracts concluded before the change; the version effective when the order was placed applies.
